Greenbrier Announces $85 Million Convertible Senior Notes Offering

LAKE OSWEGO, Ore.

The Greenbrier Companies, Inc. announced today that, subject to market conditions and other factors, the company plans to issue $85 million aggregate principal amount of convertible senior notes due 2026 in a private offering. The company also intends to grant the initial purchasers of the notes an option to purchase up to an additional $15 million aggregate principal amount of notes. The company anticipates that the closing of the offering will take place on or about May 22, 2006, subject to customary closing conditions.

The notes will pay interest semiannually, may bear contingent interest in certain circumstances and will be convertible upon the occurrence of specified events into cash and, in certain circumstances, shares of the company's common stock, at a conversion rate to be determined. The notes will be guaranteed by substantially all of the company's domestic subsidiaries.

The company expects to use the net proceeds of the offering for general corporate purposes, including working capital, capital expenditures and potential acquisitions.

The convertible senior notes, the subsidiary guarantees and the underlying shares of common stock have not been registered under the Securities Act of 1933, as amended, or any state securities laws, and may not be offered or sold in the United States or to U.S. persons absent registration or an applicable exemption from the registration requirements. The offering will be made only to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933.
